Double-starred (**) items are required by all PTA/PTSAs. Starred items serve to tie PTAs together as a national organization. These items were adopted by action of National PTA Convention delegates and should be used verbatim with minimal additions of the names of the PTA or dates. For ease of finding where these changes should be made, such items are enclosed by brackets [ ]. Alabama PTA requires certain provisions be included in local unit bylaws. These requirements are designated by the number symbol (#). The structure of the local PTA and its specific rules and regulations are contained in the bylaws adopted by the members of that local unit. Such bylaws, however, may not conflict with the National PTA Bylaws or the Alabama PTA Bylaws.

BYLAWS

OF

CARY WOODS SCHOOL PARENTS, TEACHER ASSOCIATION

 

 

 

ARTICLE I: NAME

The name of this organization is the Cary Woods School Parents, Teacher Association (CWS-PTA), Auburn, Alabama. It is a local PTA organized under the authority of Alabama Congress of Parents and Teachers, (the Alabama PTA), a branch of the National Congress of Parents and Teachers (the National PTA).

 

 

**ARTICLE II: PURPOSES

 

 

Section 1. The Objects of the Cary Woods School PTA, in common with those of the National PTA and the Alabama PTA, are:

    1. To promote the welfare of children and youth in home, school, community, and place of worship
    2. To raise the standards of home life
    3. To secure adequate laws for the care and protection of children and youth
    4. To bring into closer relation the home and the school, that parents and teachers may cooperate intelligently in the education of children and youth
    5. To develop between educators and the general public such united efforts as will secure for all children and youth the highest advantages in physical, mental, social, and spiritual education

 

 

Section 2. The Objects of the National PTA, the Alabama PTA, and the Cary Woods School PTA are promoted through an educational program directed toward parents, teachers, and the general public; are developed through conferences, committees, projects, and programs; and are governed and qualified by the basic policies set forth in Article III.

 

Section 3. The organization is organized exclusively for the charitable, scientific, literary or educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code or corresponding section of any future federal tax code (hereinafter "Internal Revenue Code").

 

 

**ARTICLE III: BASIC POLICIES

The following are basic policies of Cary Woods School PTA, in common with those of the National PTA and the Alabama PTA:

  1. The organization shall be noncommercial, nonsectarian, and nonpartisan.
  2. The name of the organization or the names of any members in their official capacities shall not be used to endorse or promote a commercial concern or in connection with any partisan interest or for any purpose not appropriately related to promotion of the Objects of the organization.
  3. The organization shall not, directly or indirectly, participate or intervene (in any way, including the publishing or distributing of statements) in any political campaign on behalf of, or in opposition to, any candidate for public office or devote more than an insubstantial part of its activities in attempting to influence legislation by propaganda or otherwise.
  4. The organization shall work with the schools to provide quality education for all children and youth and shall seek to participate in the decision-making process establishing school policy, recognizing that the legal responsibility to make decisions has been delegated by the people to boards of education, state education authorities, and local education authorities.
  5. The organization shall not enter into membership with other organizations except such international or national organizations as may be approved by the National PTA Board of Directors. The Alabama PTA or any of its divisions may cooperate with other organizations and agencies concerned with child welfare, but PTA/PTSA representatives shall make no commitments that bind the group they represent.
  6. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, directors, trustees, officers, or other private individuals except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article II hereof.
  7. Notwithstanding any other provision of these articles, the organization shall not carry on any other activities not permitted to be carried on (i) by an organization exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code or (ii) by an organization, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code.
  8. Upon the dissolution of this organization, after paying or adequately providing for the debts and obligations of the organization, the remaining assets shall be distributed to one or more nonprofit funds, foundations, or organizations that have established their tax-exempt status under Section 501(c)(3) of the Internal Revenue Code.

 

 

ARTICLE IV: RELATIONSHIP WITH NATIONAL PTA AND ALABAMA PTA

 

 

**Section 1. This local PTA shall be organized and chartered under the authority of the Alabama PTA in the area in which this local PTA functions, in conformity with such rules and regulations, not in conflict with the National PTA Bylaws, as the Alabama PTA may in its bylaws prescribe. The Alabama PTA shall issue to this local PTA an appropriate charter evidencing the due organization and good standing of this local PTA.

A local PTA in good standing is one that:

  1. Adheres to the Objects and basic policies of the PTA;
  2. Remits the national portion of the dues through the state PTA to reach the national office by dates designated by the National PTA;
  3. Has bylaws approved according to the procedures of its state; and
  4. Meets other criteria as may be prescribed by the individual state PTA.

 

**Section 2. The articles of organization of this local PTA include (a) the bylaws of such organization and (b) the certificate of incorporation or articles of incorporation of such organization (in cases in which the organization is a corporation) or the articles of association by whatever name (in cases in which the organization exists as an unincorporated association).

 

**Section 3. This local PTA shall adopt such bylaws for the government of the organization as may be approved by the Alabama PTA. Such bylaws shall not be in conflict with National PTA Bylaws or the Bylaws of Alabama PTA.

 

**Section 4. This local PTA shall include in its bylaws provisions corresponding to the National PTA Bylaws as are identified herein by a double star (**).

 

**Section 5. The adoption of an amendment to any provision of the National PTA Bylaws identified by a double star shall serve automatically and without requirement of further action by this local PTA to amend its corresponding bylaws. This local PTA shall promptly incorporate such amendments in its bylaws.

 

**Section 6. Bylaws of this local PTA include an article on amendments.

 

**Section 7. Bylaws of this local PTA shall include a provision establishing a quorum.

 

**Section 8. Each officer or board member of this local PTA shall be a member of this local PTA.

 

**Section 9. The bylaws of this local PTA shall prohibit voting by proxy, (unless proxy voting is specified by applicable state law).

 

**Section 10. A PTA member shall not serve as a voting member of this local PTA’s board while serving as a paid employee of or under contract to this local PTA.

 

**Section 11. Only members of this local PTA who have paid dues for the current membership year may participate in the business of this local PTA.

 

**Section 12. This local PTA shall collect dues from its members and shall remit a portion of such dues to the Alabama PTA as provided in Article V hereof.

 

**Section13. The members of the nominating committee for officers of this local PTA shall be elected by the general membership, or executive board.

 

**Section 14. This local PTA shall keep such permanent books of account and records as shall be sufficient to establish the items of gross income, receipts and disbursements of the organization, including, specifically, the number of its members, the dues collected from its members, and the amount of dues remitted to the Alabama PTA. Such books of account and records shall at all reasonable times be open to inspection by an authorized representative of the Alabama PTA or, where directed by the committee on state and national relationships, by a duly authorized representative of the National PTA.

 

**Section 15. The charter of this local PTA shall be subject to withdrawal and the status of such organization as a local PTA shall be subject to termination, in the manner and under the circumstances provided in the bylaws of the Alabama PTA.

 

**Section 16. This local PTA is obligated, upon withdrawal of its charter by the Alabama PTA:

  1. To yield up and surrender all of its books and records and all of its assets and property to the Alabama PTA or to such agency as may be designated by the Alabama PTA or to such agency as may be designated by the Alabama PTA or to another local PTA organized under the authority of the Alabama PTA;
  2. To cease and desist from the further use of any name that implies or connotes association with the National PTA or the Alabama PTA or status as a constituent organization of the National PTA; and
  3. To carry out promptly, under the supervision and direction of the Alabama PTA, all proceedings necessary or desirable for the purpose of dissolving Cary Woods School PTA.

 

**Section 17. This local PTA shall include in its bylaws provisions corresponding to the provisions of state bylaws identified by the number symbol (#).

 

 

 

#Section 18. Organization

  1. Local PTAs shall be organized in all possible areas of the state as units of the National PTA and Alabama PTA. The purpose of these units shall be to promote the Objects and interests of the National PTA and Alabama PTA.
  2. Each local unit shall be authorized to make its own rules for the transaction of its business provided they are not in conflict with the Bylaws of the National PTA or the Alabama PTA.
  3. A local organization shall become a PTA unit upon receipt in the state office of (i) national and state dues, (ii) two copies of the local unit bylaws, subject to approval by Alabama PTA, and (iii) the names of the charter members.
  4. The Board of Directors of the Alabama PTA shall make all decisions regarding the recognition and status of organized units.

 

 

#Section 19. Procedure for Dissolution.

 

As outlined in Article V, Section 15, of these Bylaws, the charter of a local PTA shall be subject to withdrawal in the following manner:

  1. The executive board (or other body that, under its bylaws, manages the affairs of the local PTA) shall adopt a resolution recommending that the local PTA be dissolved and directing that the question of such dissolution be submitted to a vote at a special meeting of members having voting rights. Written or printed notice stating that the purpose of such meeting is to consider the advisability of dissolving the local PTA shall be given to each member entitled to vote at such meeting at least thirty (30) days prior to the date of such meeting.
  2. Written notice of the adoption of such resolution, accompanied by a copy of the notice of the special meeting of members, shall be given to the president of the Alabama PTA at least twenty (20) days before the date fixed for such meeting of the members.
  3. Only those individuals who were members in good standing of the local PTA on the date of adoption of the resolution and who continue to be members in good standing on the date of the special meeting shall be entitled to vote on the question of dissolution.
  4. Approval of dissolution of the local PTA shall require the affirmative vote of at least two-thirds (2/3) of the members present and entitled to vote at the special meeting, a quorum being present.

 

 

 

#Section 20. The adoption of an amendment to any provision of the bylaws of the Alabama PTA identified by a # symbol shall serve automatically and without the requirement of further action by the local PTA to amend correspondingly the bylaws of each local PTA. Notwithstanding the automatic character of the amending process, the local PTAs shall promptly incorporate such amendments in their respective bylaws.

 

 

 

#Section 21. Local units shall review and update bylaws every three (3) years. Two (2) copies of the updated bylaws shall be submitted to the Alabama PTA office for approval by the Bylaws Committee. One copy shall be returned to the local unit stamped with Alabama PTA approval and date; the second copy shall be retained in the state office files.

 

 

ARTICLE V: MEMBERSHIP AND DUES

**Section 1. Every individual who is a member of this local PTA is, by virtue of that fact, a member of the National PTA and of the Alabama PTA by which such local PTA is chartered, and is entitled to all the benefits of such membership.

 

 

**Section 2. Membership in this local PTA shall be made available by this local PTA, without regard to race, color, creed, or national origin, under such rules and regulations, not in conflict with the provisions of the National PTA Bylaws or the Alabama PTA Bylaws, as may be prescribed in the bylaws of this local PTA, to any individual who subscribes to the Objects and basic policies of the National PTA.

 

 

**Section 3. This local PTA shall conduct an annual enrollment of members, but may admit individuals to membership at any time.

 

 

**Section 4. Each member of this local PTA shall pay such annual dues to said organization as may be prescribed by the organization. The amount of such dues shall include the portion payable to the Alabama PTA—the "state portion"--and the portion payable to the National PTA--the "national portion."

 

 

**Section 5. The amount of the state portion of each member’s dues shall be determined by the Alabama PTA. The national portion of each member’s dues shall be one (1) dollar per annum.

 

 

#Section 6. The Alabama PTA portion of each member’s dues shall be (1) dollar per annum.

 

 

Section 7. Each member of this PTA shall pay annual dues $ 5.00 for a single membership, $7.00 for a family membership. The amount of such annual dues shall include the portion payable to the state PTA and the portion payable to the National PTA.

 

**Section 8. The state and national portions of the dues paid by each member of this local PTA shall be set aside by this local PTA and remitted to the Alabama PTA through such channels and at such times as the state PTA bylaws may provide. Each state PTA shall pay to the National PTA the amount of the national portion of dues paid by all members of local PTAs in its area.

 

#Section 9. The local treasurer shall keep the record of the national and state portion of the membership dues separate from the record of the general funds of the local PTA unit.

 

#Section 10. When remitting dues, the local treasurer shall send a list of the names of the local unit members for whom the dues are being paid.

 

#Section 11. The local PTA shall make at least one remittance of state and national dues by December 1. Remittances made on or before March 1 shall determine (i) voting delegate representation at state convention and (ii) eligibility for membership awards.

 

 

ARTICLE VI: OFFICERS

Section 1. The officers of this local PTA shall be a president, Four (4) vice president(s), a secretary, and a treasurer.

 

 

Section 2. Officers shall be elected by ballot in the month of March.

 

 

Section 3. The vote shall be conducted by ballot. When there is but one candidate for an office, the ballot for that office may be dispensed with and election held by voice vote. A majority vote shall be required for election.

 

Section 4. The following provisions shall govern the qualifications and eligibility of individuals to be officers of the Cary Woods School PTA:

  1. Each officer shall be a member of this local PTA.

 

Section 5. Officers shall assume their official duties following the close of the meeting in June in which they are elected and shall serve for a term of One (1) year or until their successors are elected.

 

Section 6. A vacancy occurring in any office shall be filled for the unexpired term by a person elected by a majority vote of the executive board, notice of such election having been given. In case a vacancy occurs in the office of president, the first vice-president shall serve notice of the election.

 

Section 7. There shall be a nominating committee composed of Five (5) members who shall be appointed by the executive board two months (In January) prior to the election of officers, as outlined in Article VI, Section 2.

  1. The committee shall elect its own chair.
  2. The nominating committee shall nominate an eligible person for each office to be filled and report its nominees at the regular general membership meeting in February, at which time additional nominations may be made from the floor.
  3. Only those individuals who are current members of this local PTA who have signified their consent to serve if elected shall be nominated for, or elected to, such office.

 

 

 

ARTICLE VII: DUTIES OF OFFICERS

Section 1. The president shall:

    1. preside at all meetings of this local PTA;
    2. serve as an ex officio member of all committees except the nominating committee;
    3. coordinate the work of the officers and committees of this local PTA in order that the Objects may be promoted;
    4. perform such other duties as may be provided for by these bylaws, prescribed by the parliamentary authority, or directed by the executive board.
    5. Attend Auburn PTA Council meetings and report to the board.

 

Section 2. The Co- President (if elected) shall:

a. act as an aide to the president and shall preside at meetings when the president is absent;

b. discuss and help distribute materials sent by state and National PTA;

c. attend Auburn PTA Council meetings or may be president's alternate;

d. submit information about upcoming PTA officers, programs etc. to the school secretary for

inclusion in the School Handbook.

 

 

Section 3. The vice president(s) shall:

    1. act as aide(s) to the president;
    2. in their designated perform the duties of the president in the president’s absence or inability to serve;
    3. First vice president shall serve as the chairman of the Programs Committee, and shall report information from this committee to the executive board.
    4. Second vice president shall serve as the chairman of the building and Grounds Committee, and shall report information from his committee to the executive board.
    5. Fourth vice president shall serve as the chairman of the Ways and Means Committee, and shall report information from this committee to the executive board
    6. perform such other duties as may be provided by these bylaws, prescribed by the parliamentary authority, or directed by the president, or the executive board

 

 

Section 4. The secretary shall:

    1. record the minutes of all meetings of the Cary Woods School PTA;
    2. be prepared to read the records of any previous meetings;
    3. file all records
    4. have a current copy of the bylaws;
    5. maintain a membership list;
    6. conduct necessary correspondence and communication of this association.
    7. perform such other duties as may be provided by these bylaws, prescribed by the parliamentary authority, or directed by the president, or executive board.

 

Section 5. The treasurer shall:

    1. have custody of the funds of this local PTA;
    2. maintain a full and accurate account of the funds of this local PTA including receipts and expenditures;
    3. make disbursements as authorized by the president, executive board, or this local PTA in accordance with the budget adopted by this local PTA;
    4. have checks or vouchers signed by two people: the treasurer and one other person;
    5. be protected by liability/bonding insurance;
    6. cause to be kept a full and accurate account of the receipts and disbursements in the books belonging to the Cary Woods School PTA;
    7. provide a written financial statement to the executive board at each meeting;
    8. present an annual report of the financial condition of the organization;
    9. be responsible for the maintenance of such books of account and records as conform to the requirements of Article IV, Section 14 of these bylaws;
    10. perform such other duties as may be provided for by these bylaws, prescribed by the parliamentary authority, or directed by the president, or executive board;
    11. submit the books annually for an audit by the Treasurer of the Auburn PTA Council.

 

Section 6. All officers shall perform the duties outlined in these bylaws and those assigned from time to time. Upon the expiration of the term of office or in case of resignation, each officer shall turn over to the president, without delay, all records, books, and other materials pertaining to the office, and shall return to the treasurer, without delay, all funds pertaining to the office.

 

 

 

ARTICLE VIII: EXECUTIVE BOARD

 

 

Section 1. The affairs of the Cary Woods School PTA shall be managed by the Executive Board in the intervals between local unit PTA general membership meetings..

 

**Section 2. Each board member shall be a member of this local PTA.

 

Section 3. The members of the board shall be:

    1. elected officers;
    2. the chairmen of standing committees, the ex-officio officers, the immediate past president (s) and the principal of the school, or a representative appointed by the principal. The chairmen of the standing committees shall be selected by the president.
    3. The president may appoint a parliamentarian, subject to approval of the executive board of this local PTA.

 

Section 4. Duties of the board shall be:

    1. To transact necessary business in the intervals between association meetings and such other business as may be referred to it by the association;
    2. To create standing and special committees;
    3. To approve the plans of work of the standing committees;
    4. To present a report at the regular meetings of the association;
    5. To prepare and submit to the association for adoption a budget for the year;
    6. To approve routine bills within the limits of the budget;
    7. To appoint a nominating committee in January.
    8. To authorize exependitures prior to the adoption of the budget by the general membership at the first meeting of the year.

 

Section 5. If any member of the Executive Board at any time cease to meet the qualifications or fulfill the duties of the position, that person may be removed from the board by resolution adopted by the executive board.

 

Section 6. Regular meetings of the board shall be held with the date and time to be fixed by the board at its first meeting of the year.

 

Section 7. Special meetings of the board may be called by the president or majority of board members upon Five (5) days’ written notice to each member of the board.

 

**Section 8. At all meetings of the board, a majority of the members of the board shall constitute a quorum for the transaction of business.

 

Section 9. Upon the expiration of the term of office or when individuals cease to hold position that entitles them to be a member of the board, they shall automatically cease to be a member of the board and shall be relieved of all duties and responsibilities incident to such membership. All records, books and other materials pertaining to the position shall be turned over to the president and all funds pertaining to the position shall be returned to the treasurer within fourteen days.

 

 

 

ARTICLE X: COMMITTEES

 

 

Section 1. Only members of this local PTA shall be eligible to serve in any elective or appointive positions.

 

Section 2. The executive board may create such special committees as it may deem necessary to promote the Objects of PTA and carry on the work of this local PTA.

 

Section 3. The President shall appoint all standing committee chairs.

 

Section 4. The term of office of a committee chair shall be One (1) year or until the selection of a successor.

 

 

Section 5. The chair of each committee shall present a plan of work to the executive board for approval. No committee work shall be undertaken without the consent of the executive board.

 

Section 6. The power to form special committees and appoint or elect their members rests with the executive board. In addition, ad hoc committees may be formed by the president when need arises. Each chairman of special committees shall report to the president information and plans from his/her committee prior to executive board meetings.

 

Section 7. The president shall be a member ex officio of all committees except the nominating committee and shall be advised of all committee meetings.

 

Section 8. Standing Committees:

a. Program Committee - The program committee shall consist of at least one parent and one teacher representative, and is responsible for obtaining programs and/or speakers for each general meeting. The program chairman shall introduce the program and/or speaker at each meeting. The program chairman shall be the first vice-president, and shall report at all executive board meetings.

b. Building and Grounds Committee - The building and grounds committee is responsible for evaluating the physical condition of the school building and campus, and for reporting these conditions to the executive board, along with recommendations for improving these conditions. The building and grounds chairman who shall be the second vice-president, shall prepare an estimated cost for each proposed improvement project approved by the executive board.

c. Membership Committee - The membership committee is responsible for keeping a record of all dues paying members and for the recruitment of new members. The membership chairman, who shall be the third vice-president, shall submit to the treasurer a list of dues paying members on or before December 1 and March 1, to accompany the treasurer's check for the state and national portion of dues, and shall report at all executive board meetings.

d. Budget and Finance Committee - the budget and finance committee is responsible for proposing a planned budget and financial plan for this organization, and shall supply copies of the proposed budget for all executive board members. After approval by the executive board, the budget shall be approved by the membership at the first regular meeting. The treasurer shall serve as chairman of the budget committee, which shall include the president, the principal, the fourth vice-president for ways and means, and other members as appointed by the president.

e. The chairmen of standing and spcial committees shall report to the executive board as needed.

 

 

ARTICLE XI: GENERAL MEMBERSHIP MEETINGS

 

 

Section 1. Regular meetings of the Cary Woods School PTA shall be held at times designated by the Executive Board and the Auburn PTA Council, unless otherwise provided by the association or by the Executive Board, five (5) days notice having been given.

 

Section 2. No fewer than two (2) regular meetings shall be held during the school year.

 

 

Section 2. Special meetings of this local unit PTA may be called by the president or by a majority of the Executive Board, Five (5) days’ notice having been given.

 

 

Section 3. The election meeting shall be held in March.

 

Section 4. Twenty (20) members shall constitute a quorum for the transaction of business in any meeting of this local PTA.

 

Section 5. The annual meeting shall be held at the final meeting of the year. The annual reports shall be received.

 

 

 

ARTICLE XII: COUNCIL MEMBERSHIP

 

[This article applies only to those local PTAs holding membership in a Council PTA. The following sections must correspond to the council PTA bylaws, and are provided as a guideline to local PTAs.]

 

 

Section 1. This local PTA shall be represented in meetings of the Auburn City Council PTA by the president, or appointed alternate, the principal and by one (1) delegate or alternate.

    1. All representatives to the Council PTA must be members this local PTA.
    2. Delegates and their alternates shall be chosen by the president.
    3. Delegates to the Auburn City Council PTA shall serve for a term of one year.

 

Section 2. This local PTA shall pay annual dues to the Auburn City Council PTA as provided in the Auburn City Council PTA Bylaws.

 

 

ARTICLE XIII: ALABAMA PTA CONVENTION

[The following sections must correspond to the state PTA bylaws, and are provided as a guideline to local PTAs.]

 

Section 1. This local PTA shall be represented at the annual meeting of the Alabama PTA by the president, or appointed alternate, and by one (1) delegate or alternate.

    1. All representatives to the Alabama PTA convention must be members of this local PTA.
    2. Delegates and their alternates shall be chosen by the Executive Board in the month of March.

 

 

ARTICLE XIV: FISCAL YEAR

 

The fiscal year of the Cary Woods School PTA shall begin on July 1 and end on the following June 30.

 

 

**ARTICLE XV - PARLIAMENTARY AUTHORITY

 

The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Cary Woods School PTA and in all cases in which they are applicable and in which they are not in conflict with these bylaws, the National PTA Bylaws, the Alabama PTA Bylaws, or the articles of incorporation.

 

 

 

 

ARTICLE XVI: AMENDMENTS

 

 

Section 1. These bylaws may be amended at any regular meeting of the association by a two-thirds vote of the members present and voting, provided that notice of the amendment has been given at the previous regular meeting and that the proposed amendment shall be subject to approval of the state PTA.

 

Section 2: A committee may be appointed by a majority vote at a general membership meeting of this local PTA, or by a 2/3 vote of the Executive Board of this local PTA, to submit a revised set of bylaws as a substitute for the existing bylaws. The requirements for adoption of a revised set of bylaws shall be the same as in the case of an amendment.

 

Section 3: Submission of amendments or revised bylaws for approval by the Alabama PTA shall be in accordance with the bylaws and regulations of the Alabama PTA.

 

**Section 4. The adoption of an amendment to any provision of the National PTA Bylaws identified by a double star shall serve automatically and without the requirement of further action by the Cary Woods School PTA to amend their corresponding bylaws. Local PTAs shall promptly incorporate such amendments in their respective bylaws.

 

 

 

**Section 5. The adoption of an amendment to any provision of the bylaws of the Alabama PTA identified by a number symbol (#) shall serve automatically and without the requirement of further action by Cary Woods School PTA to amend their corresponding bylaws.
